By using the Websites, you accept and agree to be bound and abide by these Terms and our Privacy Policy, incorporated herein by reference. All matters relating to the Websites and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the Commonwealth of Pennsylvania without giving effect to any choice or conflict of law provision or rule.
Dispute Resolution
Please read the following section carefully because it requires you to arbitrate certain disputes and claims with the Company and limits the manner in which you can seek relief from us.
a. Informal Dispute Resolution
Before filing a claim against the Company, you agree to try to resolve the dispute informally by contacting us. We will attempt to resolve the dispute informally by contacting you through email. If a dispute is not resolved within thirty days of submission, either party may bring a formal proceeding as set forth below.
b. Agreement to Arbitrate
You and the Company agree to resolve any claims relating to these Terms or the Websites through final and binding arbitration, except as set forth under Exceptions to Agreement to Arbitrate below. This agreement to arbitrate is intended to be broadly interpreted.
c. Notice; Process
A party who intends to seek arbitration must first send a written notice of the dispute to the other party by certified U.S. Mail or by Federal Express (signature required). Notice to the Company should be sent to: WildFig Data, LLC, Attn: Legal Department, 532 N Front Street, Wormleysburg, PA 17043. The notice must describe the nature and basis of the claim or dispute and set forth the specific relief sought.
d. Exceptions to Agreement to Arbitrate
Either party may assert claims, if they qualify, in small claims court in the county of your billing address or in the county in which the Company is located. Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Websites, or intellectual property infringement, without first engaging in arbitration or the informal dispute resolution process described above.
e. Arbitration Procedures
The arbitration will be governed by the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes of the American Arbitration Association (“AAA”), as modified by these Terms, and will be administered by the AAA. The AAA Rules and Forms are available online at https://www.adr.org/. The arbitration procedures shall be as follows:
- The arbitration shall be conducted by a single, neutral arbitrator.
- The arbitration may be conducted in person, through the submission of documents, by phone, or online.
- The arbitrator will make a decision in writing and will provide a statement of reasons if requested by either party.
- The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so.
- Except as otherwise provided in these Terms, you and the Company may litigate in court to compel arbitration, to stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.
Waiver and Severability
No waiver by the Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
Entire Agreement
The Terms and our Privacy Policy constitute the sole and entire agreement between you and WildFig Data, LLC regarding the Websites and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Websites.
